| Summary: | Restatements of the law are enormously influential with courts, with legislatures, and in legal scholarship and education. The Institute first tackled the subject of corporate governance more than 25 years ago in principles of the law, corporate governance: analysis and recommendations. Although it provided valuable guidance in a new and unfamiliar area of law at the time, this area has evolved quite a bit in the intervening decades. This project will examine the state of the law today and reflect it in the restatement. Each restatement or principles topic is further updated by an annual gathering of short synopses of judicial rulings or decisions in which the court has explicitly employed the restatement or principles in its decision making. Whether followed, followed in part, criticized, or rejected, the restatements and principles are widely cited, ignored at peril. These annual compilations of case annotations are useful in determining the scope and value of restatement and principles formulations. |
